1. Acceptance of Terms

By accessing or using BriefedUp.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and BriefedUp.ai.

2. Description of Service

BriefedUp.ai is a meeting intelligence platform that:

• Integrates with your calendar (Google Calendar or Microsoft Office 365)
• Automatically researches meeting attendees and companies
• Generates AI-powered briefings using Claude by Anthropic
• Delivers briefings via email before scheduled meetings
• Provides meeting preparation insights and recommendations

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for all activities under your account. Notify us immediately of any unauthorized access or security breach.

3.3 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

4. Subscription and Payment

4.1 Free Trial

New users receive a 14-day free trial with limited features. No credit card is required for the trial. The trial automatically expires unless you subscribe to a paid plan.

4.2 Paid Subscriptions

• Pro Monthly: $25/month, billed monthly
• Pro Annual: $250/year, billed annually
• Enterprise: Custom pricing, contact sales

4.3 Billing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis according to your subscription plan.

4.4 Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date. You can cancel anytime through your account settings.

4.5 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Contact support for refund requests. Refunds are not available for renewals or partial subscription periods.

5. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated tools to access or scrape data from the Service
• Share, resell, or redistribute the Service without permission
• Use the Service to harass, abuse, or harm others
• Upload malware, viruses, or malicious code
• Impersonate others or provide false information
• Reverse engineer or attempt to extract source code

6. Calendar and Email Access

6.1 OAuth Authorization

By connecting your calendar and email, you grant us OAuth access to:

• Read your calendar events and meeting details
• Access meeting attendee information
• Search your emails for context related to meetings (optional)

6.2 Data Usage

We use this data solely to provide the Service. We do not share calendar or email data with third parties except as necessary to generate briefings (e.g., AI processing).

6.3 Revocation

You may revoke calendar and email access at any time through your account settings or directly through Google/Microsoft settings.

7. Intellectual Property

7.1 Our Property

The Service, including software, design, content, trademarks, and logos, is owned by BriefedUp.ai and protected by copyright, trademark, and other intellectual property laws.

7.2 Your Data

You retain ownership of your data (meeting information, calendar data, etc.). By using the Service, you grant us a limited license to process your data to provide and improve the Service.

7.3 Generated Content

Briefings generated by our AI are provided to you for your personal use. You may not republish, redistribute, or commercialize AI-generated content without permission.

8. AI-Generated Content Disclaimer

BriefedUp.ai uses artificial intelligence to generate meeting briefings. Please note:

• AI-generated content may contain inaccuracies or incomplete information
• You should independently verify important information before relying on it
• We do not guarantee the accuracy, completeness, or reliability of AI-generated briefings
• Use briefings as a starting point for your own research and preparation
• We are not liable for decisions made based on AI-generated content

9. Service Availability and Modifications

9.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or technical issues.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

9.3 Updates

We may release updates, new features, or changes to existing features. Continued use of the Service constitutes acceptance of these changes.

10. Termination

10.1 By You

You may cancel your subscription and delete your account at any time through account settings.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any reason with notice.

10.3 Effect of Termination

Upon termination, your access to the Service ends immediately. We will delete your data within 30 days unless required to retain it by law.

11. Disclaimers and Limitations of Liability

11.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIEFEDUP.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11.3 Maximum Liability

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless BriefedUp.ai, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@briefedup.ai to attempt to resolve the dispute informally.

13.2 Arbitration

Any disputes not resolved informally shall be settled by binding arbitration in accordance with the American Arbitration Association rules.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

14. Governing Law

These Terms are governed by the laws of the United States and the state where BriefedUp.ai is headquartered, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BriefedUp.ai.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.

16.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
